Welcome to SQWARE Games. These Terms of Service govern your access to and use of the SQWARE Games platform, services, and related content. By accessing or using our platform, you agree to be bound by these Terms. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing or using the SQWARE Games platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms that may apply to specific features, content, or services. If you do not agree with these Terms, you may not access or use the Platform.

We may update these Terms from time to time. Continued use of the Platform after changes indicates your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

2. Age Requirements

3. SQWARE Games Account

• Not create an account for anyone other than yourself
• Not transfer your account to another person

We reserve the right to disable your account if we determine that you have violated these Terms or if we detect suspicious account activity.

Your display name, avatar, and other public profile elements must comply with our Community Guidelines. We reserve the right to remove or require changes to content that violates these guidelines.

4. Platform Rules and Code of Conduct

4.1 General Conduct

When using the Platform, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including privacy and intellectual property rights
• Engage in harassment, hate speech, or discriminatory behavior
• Post or transmit harmful, offensive, or inappropriate content
• Impersonate others or misrepresent your affiliation with any person or entity
• Engage in any activity that could harm, disrupt, or interfere with the Platform
• Attempt to gain unauthorized access to other user accounts or Platform systems

4.2 Gaming Conduct

When participating in games, you agree not to:

• Use cheats, bots, hacks, or other unauthorized third-party software
• Exploit bugs or glitches in the games
• Engage in "boosting," "match throwing," or other forms of manipulation
• Use multiple accounts to circumvent restrictions or gain unfair advantages
• Share accounts or account credentials with others
• Create a toxic environment through abusive communication or behavior
• Attempt to manipulate in-game economies or rankings

4.3 Communication and Social Features

When using communication features, you agree not to:

• Engage in harassment, bullying, or threatening behavior
• Send unsolicited promotional messages or spam
• Share illegal, harmful, or offensive content
• Use the communication features to organize or promote harmful activities
• Impersonate SQWARE Games staff or other users
• Share personal information of others without consent

4.4 Enforcement

Violation of these rules may result in:

• Content removal
• Temporary suspension
• Permanent account termination
• Restriction of access to certain features
• Legal action in severe cases

We have sole discretion in determining violations and appropriate enforcement actions. Our enforcement decisions may consider the severity of the violation, prior history, impact on others, and other relevant factors.

5. User Content

5.1 Content Ownership

You retain ownership of any content you create and share on the Platform ("User Content"), including comments, artwork, screenshots, videos, or custom game elements. However, by submitting User Content, you grant SQWARE Games a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and promoting the Platform.

5.2 Content Restrictions

You may not submit User Content that:

• Infringes on intellectual property rights
• Contains illegal, obscene, defamatory, or offensive material
• Violates the privacy or publicity rights of others
• Contains malicious code or programs
• Promotes illegal activities or discrimination
• Contains commercial solicitations without authorization
• Impersonates others or misrepresents your identity

5.3 Content Monitoring

We do not actively monitor all User Content, but we reserve the right to review, edit, or remove content that violates these Terms or our Community Guidelines. We encourage users to report inappropriate content through the designated reporting tools.

5.4 Feedback

If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback without restriction or compensation to you.

6. Digital Content and Virtual Items

6.1 Licenses to Digital Content

The Platform may include games, virtual items, cosmetics, and other digital content that you can access or purchase. We grant you a limited, non-exclusive, non-transferable, revocable license to use such digital content for personal, non-commercial purposes within the Platform, subject to these Terms and any additional terms specific to that content.

6.2 Virtual Currency and Items

Virtual currency and items:

• Have no real-world monetary value
• Cannot be transferred, traded, or redeemed for real money
• Cannot be transferred between accounts except through Platform-approved mechanisms
• May be modified, limited, or removed at our discretion
• May expire after a certain period if specified

Your purchase of virtual currency or items is a purchase of a limited license to use those elements within the Platform.

6.3 Purchases and Refunds

All purchases are final unless otherwise required by applicable law. Refunds may be provided at our discretion in cases of:

• Accidental purchases (in limited circumstances)
• Defective or non-delivered content
• Unauthorized purchases

Refund requests should be submitted through our support channels and will be evaluated on a case-by-case basis.

6.4 Changes to Digital Content

We reserve the right to modify, update, or discontinue any digital content, including:

• Making balance adjustments to games or items
• Updating the functionality or appearance of content
• Retiring or replacing content

7. Intellectual Property

All content provided by SQWARE Games on the Platform, including but not limited to games, graphics, logos, designs, interfaces, code, software, characters, storylines, and audio, is owned by SQWARE Games or its licensors and is protected by intellectual property laws. You may not use, reproduce, distribute, modify, or create derivative works of our intellectual property without explicit permission.

7.2 Limited License to Use the Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not grant you any rights to:

• Reverse engineer or decompile the Platform
• Copy or reproduce any part of the Platform
• Create derivative works based on the Platform
• Use the Platform for commercial purposes
• Remove proprietary notices or labels
• Circumvent or disable security or technical features

7.3 Third-Party Intellectual Property

The Platform may include third-party content that is subject to additional terms or licenses. You agree to comply with all terms applicable to such third-party content.

7.4 Copyright Infringement

If you believe your copyright-protected work has been used on the Platform in a way that constitutes copyright infringement, please submit a notice to our designated copyright agent with the following information:

• Identification of the allegedly infringing material

• A statement of good faith belief regarding the unauthorized use
• A statement of accuracy under penalty of perjury

8. Platform Availability and Updates

8.1 Availability and Service Changes

The Platform is provided on an "as is" and "as available" basis. We do not guarantee that:

• The Platform will be available at all times
• Access will be uninterrupted or error-free
• Defects will be corrected
• The Platform will be free from harmful components
• The Platform will remain unchanged

We reserve the right to modify, suspend, or discontinue the Platform or any part of it at any time without prior notice or liability.

8.2 Updates and Patches

We may deploy updates, patches, and maintenance:

• To improve functionality and performance
• To fix bugs or security vulnerabilities
• To add or remove features
• To ensure compatibility with new technologies
• To comply with legal requirements

These updates may be automatic and mandatory for continued use of the Platform. It is your responsibility to ensure your devices meet the system requirements for using the Platform, which may change over time.

8.3 End of Service

We may permanently discontinue any game or service on the Platform at our discretion. In such cases:

• We will provide reasonable advance notice when possible
• Your access to the discontinued game or service will end
• Virtual items or currency specific to that game or service may become unusable
• We may offer alternatives or compensation at our discretion

You acknowledge that your use of the Platform is subject to these possibilities and that we are not obligated to maintain or support any aspect of the Platform indefinitely.

9. Disclaimers and Limitations of Liability

9.1 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE PLATFORM WILL MEET YOUR REQUIREMENTS
• THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE
• THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS
• ANY ERRORS IN THE PLATFORM WILL BE CORRECTED

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SQWARE GAMES, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE AMOUNT PAID BY YOU TO SQWARE GAMES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE LIMITATIONS OF LIABILITY SHALL APPLY WHETHER THE CLAIMS ARE BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SQWARE GAMES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless SQWARE Games, its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content
• Your conduct in connection with the Platform

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

11. Dispute Resolution

11.1 Informal Resolution

Before pursuing formal legal action, you agree to attempt to resolve any disputes informally by contacting us at [email protected]. We will attempt to resolve the dispute through customer support.

11.2 Arbitration Agreement

If the dispute cannot be resolved informally, you and SQWARE Games agree to resolve disputes through binding arbitration rather than in courts of general jurisdiction, except for small claims court cases or where excluded below.

Arbitration procedures:

• Conducted by a neutral arbitrator
• No judge or jury
• Limited discovery compared to court proceedings
• Decision binding on both parties
• Proceedings generally confidential

11.3 Class Action Waiver

YOU AND SQWARE GAMES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Exceptions

The arbitration agreement does not apply to:

• Claims of intellectual property infringement
• Claims that qualify for small claims court
• Injunctive relief to stop unauthorized use or abuse of the Platform
• Claims where arbitration is not enforceable under applicable law

11.5 Governing Law

These Terms shall be governed by the laws of the jurisdiction where you reside, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms that apply to specific features, constitute the entire agreement between you and SQWARE Games regarding your use of the Platform and supersede any prior agreements or understandings.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by SQWARE Games.

12.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

12.5 Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, power failures, internet disruptions, or failure of third-party service providers.
